Terms of Service

These terms are an agreement between you and NameItRight ("we", "us"), operated by an individual seller based in Mangalore, Karnataka, India, covering your use of the NameItRight desktop application and the services at nameitright.app. By creating an account or using the software, you accept them.

1. What the service does

NameItRight reads files you choose and suggests descriptive filenames for them. Suggestions are generated by a third-party AI model. Nothing on your computer is renamed until you approve it.

The service is delivered through the NameItRight desktop application. There is no browser-based or web-upload version today — you cannot rename files by visiting nameitright.app. If that changes, these terms and our privacy policy will be updated to describe it before it ships.

2. Your account

• You must give an accurate email address and verify it.
• One free credit grant per person. Creating additional accounts to obtain more free credits is not permitted.
• You are responsible for activity under your account and for keeping your credentials secure.
• You must be at least 18 years old, or have permission from a parent or guardian.

3. Credits

• Renaming consumes credits. The cost per file type is published on the pricing page and may change with notice.
• Credits are allocated per billing period and do not roll over. Any unused balance expires at the end of the period.
• Credits have no cash value, cannot be transferred between accounts, and cannot be exchanged for money except as set out in our refund policy.
• If a rename fails for a reason on our side — our service, our AI provider, or a timeout — the credits are returned to you automatically.
• Credits are consumed when a rename is generated. A suggestion you choose not to apply has still been generated, and is not refunded.

4. Subscriptions, billing and cancellation

• Payments are handled by Dodo Payments as merchant of record. Their terms also apply to the payment transaction itself.
• Subscriptions renew automatically until cancelled.
• You may cancel at any time through the billing portal. Cancellation stops future charges; access continues until the end of the period already paid for.
• If a payment fails, we may suspend access to paid features until it is resolved.
• We may change prices. Existing subscribers will be notified at least 30 days before a change affects them, and may cancel instead of accepting it.

5. Your files and your rights in them

You keep all rights in the files you process. We claim no ownership over them and no licence beyond what is technically required to generate a filename and return it to you.

You confirm that you have the right to process the files you submit, and that doing so does not breach anyone else's rights or any law that applies to you. If you handle files subject to specific regulatory duties — medical records, for example — it is your responsibility to determine whether sending them to a third-party AI service is permitted.

6. Acceptable use

You agree not to:

• submit content that is illegal where you are, or that depicts child sexual abuse
• attempt to extract our API keys, credentials, or model prompts
• circumvent credit metering, rate limits, or the type detection that determines pricing
• use the service to build a competing dataset or to resell filename generation
• submit volumes intended to disrupt the service rather than to rename your own files
• share one account among multiple people

We may suspend or close an account that breaches this section. Where the breach is not deliberate, we will contact you first.

7. Availability

We do not promise uninterrupted service. The product depends on a third-party AI provider, and if that provider is unavailable, renaming will not work. We offer no uptime guarantee on these plans. Where a failure is on our side, credits are returned.

8. Accuracy of suggestions

Filename suggestions are generated by an AI model and will sometimes be wrong, incomplete, or oddly worded. You see every suggestion before it is applied, and applying it is your decision. We are not responsible for the consequences of a filename you chose to apply.

9. Software licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the NameItRight desktop application for as long as these terms are in force. You may not redistribute it, sell it, or reverse-engineer it except where the law expressly permits you to.

10. No warranty

The service is provided "as is" and "as available". To the fullest extent the law allows, we exclude all implied warranties, including fitness for a particular purpose and merchantability. Nothing here excludes liability that cannot lawfully be excluded.

11. Limitation of liability

To the fullest extent the law allows, our total liability arising out of or relating to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, loss of data, or lost profits.

NameItRight only renames files — it does not delete or move their contents. Even so, keeping backups of files that matter to you is your responsibility.

12. Ending the agreement

You may stop using the service and delete your account at any time. We may end this agreement if you materially breach these terms, or on 30 days notice if we discontinue the product — in which case we will refund the unused portion of any prepaid period.

13. Changes to these terms

We may update these terms. If a change materially affects your rights we will email you before it takes effect. Continuing to use the service after that constitutes acceptance.

14. Governing law

These terms are governed by the laws of India, and the courts of Mangalore, Karnataka have exclusive jurisdiction over any dispute, subject to any consumer protection rights you have where you live.
